Migrating from Microsoft Essentials Business Server 2008

Recently we were contacted by a customer asking to help them add more licenses to an existing EBS 2008 infrastucture. As we all know, Microsoft killed EBS 2008 back in 2010 and no longer supports it. We are planning a migration out of EBS2008 and use the Standard products of Windows Server 2008, Exhange 2007 and TMG. We would like to eventually eliminate TMG and use SonicWall as our Firewall. I have some questions regarding this process and wanted to know if anyone out there has done this type of migration:

1. When we run the migration, are we entlitled to use the same Client Cals? Customer is planning on adding 50 more users from his existing 85.

2. Should we consider just creating a new domain and migrate them ?

3. Has anybody had the need to keep independent CALS for Windows Server and Windows Exchange or Can you stay with the default 5 CALS that come with the software?
