Migrating to a new server 2008 r2 from Server 2003

I am working on turning off on old server (2003) that has the roles of, DHCP, WINS and DNS it is a domain controller, but doesn't make use of AD. Where can I find the steps to take it down and transition these roles to the new server (2008r2) so I can shut down the old server? 

The domain created on the old server is domain.local and all the workstations aren't joined to that domain, just the workgroup "domain". It is a very interesting setup that I've come across. The previous IT guy didn't leave any documentation of what roles he created on the current/old server and the customer wants the old server taken down quickly.

Any suggestions, or how to's out there would be wonderful as I haven't done this type of migration before. Thanks!
