PDC not syncing with external time source

I've had this issue for about a week where all of our computers (windows 7 Pro) are running 5 minutes behind the actual time, so I found initially that our PDC (server 2003) was setup to use its internal time as the source, so then first I made sure UDP port 123 was open, it was.

So then I wanted to see exactly how far off the time was.  So I ran w32tm /stripchart /computer:time.windows.com /samples:5 /dataonly, and all 5 results said time was off by +297.95 seconds.

So then I ran this command: w32tm /config /computer:time.windows.com /syncfromflags:manual /reliable:yes /update, and this always runs successfully, then I run command w32tm /resync, but it always comes back with the error "the computer did not resync because no time data is available"  I also tried w32tm /resync /nowait, that command says it completed successfully, but there is no change in time.

I checked the error logs and the only w32tm event is 12, but no actual errors, just informational entries related to w32tm.

I then actually went into the registry itself, because i thought maybe those commands didn't actually get set made sure everything was set correctly using http://support.microsoft.com/kb/816042 and everything was setup like it should be.

Not sure why my PDC keeps saying there is no time source, so was hoping someone could help me out with this issue, since it is effecting our time clock everyday, which is just becoming a thorn in my side to have to get reset sometimes twice a day..

So any help would be much appreciated.
